OutreachGenius Terms of Use

1. Definitions

“Company,” “OutreachGenius,” “we,” “us”OutreachGenius Inc. and its affiliates.
“Customer,” “you,” “your”Any organization or individual who accesses or uses the Services.
“Services”The AI voice-assistant platform, APIs, portals, dashboards, and related support provided by OutreachGenius.
“Customer Content”All information, audio, transcripts, text, and data submitted to—or generated by—the Services on Customer’s behalf.
“Authorized Users”Individuals you allow to use the Services under your account.
“Applicable Law”All laws and regulations that apply, including TCPA, CASL, CCPA/CPRA, provincial privacy statutes, etc.

2. Use of the Services

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

3. Scope of Services

OutreachGenius will provide the Services in accordance with:

  1. These Terms, and
  2. Any mutually executed order form or statement of work (each, an “Order Form”).

We may improve or update the Services but will not materially reduce core functionality during an active subscription term without reasonable notice.

4. Customer Content & Data Usage

4.1 Ownership. Customer retains all right, title, and interest in Customer Content.

4.2 License to Company. Customer grants OutreachGenius a limited, non-exclusive license to process Customer Content solely to deliver and support the Services.

4.3 No Model Training. OutreachGenius will not use Customer Content to train, retrain, or fine-tune any machine-learning or AI models, nor for analytics or product development, unless Customer gives prior written consent.

4.4 Storage & Retention.

  • Audio recordings and transcripts are retained for up to twelve (12) months from capture.
  • Customer may instruct OutreachGenius at any time to delete or export specific recordings or transcripts; OutreachGenius will comply within 30 days.
  • Metadata (e.g., call duration, timestamps) may be retained for operational integrity for up to twenty-four (24) months, after which it is anonymized or deleted.

4.5 Deletion Upon Termination. Within 30 days after termination of all subscriptions, OutreachGenius will delete or return Customer Content from live systems and backups, except where retention is required by law or for legitimate dispute resolution.

5. Security & Confidentiality

  • OutreachGenius maintains administrative, technical, and physical safeguards aligned with SOC 2 controls.
  • All Customer Content is encrypted in transit (TLS 1.2+) and at rest (AES-256 or stronger).
  • OutreachGenius personnel may access Customer Content only to troubleshoot a support request initiated by Customer or to meet legal obligations, and are bound by confidentiality agreements.

6. Customer Responsibilities

  • Ensure Authorized Users comply with these Terms.
  • Obtain all consents and provide all legally required notices for OutreachGenius to process Customer Content.
  • Use the Services in compliance with Applicable Law and not for any fraudulent, harassing, or unlawful purpose.

7. Service Levels & Support

OutreachGenius targets 99.5% monthly uptime, excluding scheduled maintenance (24-hour notice) and force-majeure events. Support requests receive an initial response within 4 business hours via email or in-app portal.

8. Warranties & Disclaimers

OutreachGenius warrants it has the right to provide the Services and that they will perform materially per documentation.

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS,” AND OUTREACHGENIUS DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Indemnification

  • OutreachGenius will defend Customer against third-party claims alleging the Services infringe IP rights and will pay damages finally awarded.
  • Customer will defend OutreachGenius against third-party claims arising from Customer’s breach of these Terms or misuse of the Services.

10. Limitation of Liability

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages.
  • Each party’s aggregate liability under these Terms will not exceed the total fees paid or payable by Customer for the Services in the twelve (12) months preceding the claim.

11. Termination

Either party may terminate for material breach with thirty (30) days’ written notice if the breach is not cured. Upon termination, Section 4.5 governs deletion of Customer Content.

12. Compliance with Call & Messaging Laws

The Services enable outbound calling and messaging. Customer is solely responsible for ensuring compliance with TCPA, CASL, provincial “mini-TCPA” statutes, and other Applicable Law.

13. Governing Law & Venue

These Terms are governed by the laws of the Province of Manitoba, Canada, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the courts located in Winnipeg, Manitoba, and each party consents to that jurisdiction.

14. Modifications

OutreachGenius may update these Terms from time to time. Changes become effective:

a) On renewal of an existing subscription, or

b) Thirty (30) days after posting, whichever is sooner.

Material changes will be communicated via email or in-app notice. Continued use after the effective date constitutes acceptance.

15. Entire Agreement

These Terms, together with any Order Form and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements.
